These Terms of Service (“Terms”) govern your access to and use of the LMS White website and, where applicable, our white-label LMS, CRM and mobile app platform. By using our website or services, you agree to these Terms.
1. Agreement to terms
These Terms form a binding agreement between you and LMS White. If you are using the services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
If you do not agree to these Terms, do not use the website or services. Additional order forms, proposals or master service agreements may apply to paid platform subscriptions and will control if they conflict with these website Terms.
2. Description of services
LMS White provides a white-label learning platform that may include web portals, Android and iOS apps, admissions CRM, live class tools, payments integrations and related features for education businesses. Features available to you depend on your plan, configuration and agreement with us.
3. Eligibility
You must be able to form a legally binding contract to use our services. The marketing website is intended for business users evaluating or purchasing LMS White. You are responsible for ensuring that your use of the platform complies with applicable education, privacy and consumer laws in your markets.
4. Accounts and access
If you create an account or receive platform credentials, you agree to:
- Provide accurate registration and billing information
- Keep login credentials confidential and secure
- Promptly notify us of unauthorised access or security incidents
- Be responsible for activity that occurs under your organisation’s accounts
5. Acceptable use
You agree not to:
- Use the services for unlawful, harmful or fraudulent purposes
- Upload malware, attempt to breach security or disrupt service availability
- Reverse engineer, resell or misuse the platform except as expressly permitted
- Infringe intellectual property, privacy or other rights of others
- Use the platform to send spam or abusive communications
- Misrepresent your identity or affiliation when contacting us or using the product
6. Customer content and white-label branding
You retain ownership of content, branding, course materials, learner data and other materials you submit to the platform (“Customer Content”). You grant LMS White a limited licence to host, process and display Customer Content solely as needed to provide and support the services.
You are responsible for the accuracy, legality and rights related to Customer Content, including learner and lead data processed in your branded environment.
7. Our intellectual property
LMS White, including its software, design, documentation, trademarks and branding (other than your white-label assets), remains our property or that of our licensors. Except for the limited rights granted to use the services, no rights are transferred to you.
8. Plans, fees and payment
Paid plans, implementation fees and commercial terms are set out in your order, proposal or pricing agreement. Fees are generally non-refundable except where required by law or expressly stated in writing. Late payments may result in suspension or termination of access.
Pricing shown on the website is illustrative unless confirmed in a signed commercial agreement.
9. Free trials and demos
Demo access, trials or evaluation environments may be offered at our discretion. They may be limited in duration, features or support and may be modified or withdrawn at any time.
10. Third-party services
The platform may integrate with third-party services such as payment gateways, video providers, messaging tools or analytics products. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.
11. Confidentiality
Each party may receive confidential business information from the other. The receiving party agrees to protect that information and use it only for purposes related to the services, except where disclosure is required by law or the information is already public through no fault of the receiving party.
12. Disclaimers
The website and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that the services will be uninterrupted, error-free or meet every educational, regulatory or commercial requirement of your business.
13. Limitation of liability
To the maximum extent permitted by law, LMS White and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, arising from your use of the website or services.
Our total liability for any claim relating to the website or services will not exceed the amounts you paid to us for the services giving rise to the claim during the twelve (12) months before the event, or a greater amount if required by applicable law.
14. Indemnity
You agree to defend and indemnify LMS White against claims, losses and expenses arising from your Customer Content, your misuse of the services, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.
15. Suspension and termination
We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, or if required by law. You may stop using the website at any time. For paid subscriptions, termination terms in your commercial agreement apply.
16. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the website or services, you acknowledge that policy.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes may be communicated through the website or by email where appropriate. Continued use after changes take effect constitutes acceptance of the updated Terms.
18. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a signed commercial agreement specifies otherwise. Courts in India will have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer or local law protections that apply.
